JOB DETAILS Position Title & Grade: Senior Financial Advisor
Reports to: VP, Finance
Department & Function: Finance - Advisory
OVERALL JOB PURPOSE:
Assists
and provides advice to Vice President - Finance in all matters relating
to raising of amounts through debt and equity and funds through other
complex mix of financing, optimal capital structure, funding facilities
structures, sponsor issues, cash flow controls. Assist VP in ensuring
advice from our financial and other advisors is timely and in best
interest of Ma'aden. Review and comment on preliminary information
memorandum, loan documentation, financial agreements and assist take
road show to major financial centres. Review and suggest options on risk
management
and operations. Evaluates and advises on ERP related business and
functional issues. Reviews Ma'aden's Accounting Policies to keep them
updated. Analyses Financial Models for Projects for their completeness
and risk analysis.
KEY ACCOUNTABILITIES:
Description Performance Indicators Recommendations
·
Designs and recommends the financing strategy necessary for Ma'aden to
deliver US$ 12 billion in mineral resource based and infrastructure
projects, taking in to account interdependence of phosphate,bauxite,
infrastructure, port & railway projects, and current market
activity.
§ Strategy recommendations with visible evidence of possible success provided and tabled.
Debt facility structures
·
Prepares and makes recommendations on equity & debt facility
structures, funding options/sources, sponsor issues, terms and
conditions,inter-
etc. to support Ma'aden's investments in projects.
§ Recommendation documented and presented as solutions with backup identifiable samples.
Risk
·
Reviews and advices on projects sensitivities, projects risks analysis
and its mitigating factors, considering projects completion risks and
cost overrun risks by reviewing the feasibility studies, discussions
with Financial/Equity Advisors etc.
§ Risk warnings with referred identifiable incidents provided to make statements.
KEY ACCOUNTABILITIES (continued):
Description Performance Indicators Financial Indicators

Reviews and comments on financial indicators such as IRR (Internal Rate
of Returns), Payback period, NPV (Net Present Value), ROI (Return on
Investments) and others are at sufficient levels to attract investors
and lenders.
§ Comments made on all indicators as needed.
Charts
·
Ensures Gantt chart, promised deliverables by our Financial Advisors
and others are being provided on time and are in the best interest of
Ma'aden. Reports on their competence; ensure that adequate resources
(time & resources) are being allocated to Ma'aden.
§ Provision of the needed deliverable charts to report on.
Finances
·
Engages with Financial/Equity Advisors & others, comment on capital
raising & financial close on project finance facility, and assists
Ma'aden in optimizing overall finance structure and strategy, and
derives maximum value from projects and investments.
§ Assistance and advise given on all financial entities and the feedback
on value of the provided advice.
Feasible financial Structures
·
Provides a recommendation on feasible financial structures for mining,
beneficiation, individual conversion plants, utilities, port, social
& other infrastructure, etc.
§ Provided and presented as part of the decision making plan.
Briefing Memorandum
·
Coordinates with our Financial Advisors to prepare Project Briefing
Memorandum, Key Information Memorandum, etc. and plans & takes road
shows to major financial centers.
§ Memorandum provided and tabled with accompanied road shows on pre determined intervals.
KLA's
·
Engages in MLAs' negotiations and agreements, studies conditions in
Commitment Letters / Agreements and ensures the same are in the best
interests of Ma'aden.
§ Participation level and feedback report.
Loan negotiations
·
Involves in loan negotiation, in negotiating financial agreements with
lead bankers, in preparation of loan documentations, and liaises with
legal and financial advisors to prepare draft loan documentations.
§ Participation level and feedback report.
Risk management
·
Reviews and comments on risks management and operations – Insurance,
Hedging, Legal structure, EPC contracting, Cash forecasting, Payments
for appropriate control and safety mechanisms.
§ Participation level and feedback report.
Policies
·
Reviews Ma'aden's Accounting Policies and comments to update the same
to keep pace with growth and changing business conditions.
§ Policy adjustments due to comments and updates.

Description Performance Indicators Business Applications

Reviews Ma'aden ERP business applications, recommends more
functionalities and Applications to be implemented to support Ma'aden
business plans and strategies.
§ Participation level and feedback report.
Financial Models
·
Reviews Financial Models for Projects with financial / technical
feasibility studies for Models' completeness and comments on business /
risk and sensitivity analysis.
§ Participation level and feedback report.
Re-investments
·
Looks at re-investment programs and re-financing opportunities to
secure highest returns with minimum risks and optimize funding costs.
§ Participation level and feedback report.
COMMUNICATIONS & WORKING RELATIONSHIPS:
· Regular contacts at own level and higher level up to Vice Presidents with all departments in the Company.
· Regular contacts with Financial Advisors, Equity Advisors, Legal Advisors and Others.
·
Regular contacts outside Company with Banks, CMA, Government bodies,
etc. and professionals for gathering related industry benchmark and
profession related information, market information and other
professional external data.
· Occasional contacts with business & management consultants on related issues.
Job relevant information (BOUNDARIES & DECISION MAKING AUTHORITY):
· Develops work methods under broad assignments guided by best practices and specialized professional standards and practices.
· Work accomplishments are subject to general review.
QUALIFICATIONS, EXPERIENCE & SKILLS:
Bachelor's degree in commerce or economics from a recognized University.
Post graduation studies in a commercial or business management discipline

years minimum combined project finance experience in both a major
commercial bank and international mining company. 3 or more years
working outside his home country or at a remote location
·
Filled the role of CFO for mid sized global company, or for a major
project through the financing and delivery stages, in a mining sector.
· Record of leading and closing a number of significant project financings preferably in the natural resources sector
· Demonstrated understanding of the technical and commercial issues related to equity & project financing
· Extensive knowledge of finance techniques & products and contacts in the international lending community
· Fluency in English.
·
Computer literate. Well versed on personal computers and can easily
work with most widely used business software like Microsoft
Windows,Word, Excel, Microsoft Project, PowerPoint, Visio, and other
similar/related software.

Job Descriptions for Senior Internal Auditor:
PrIMARY Accountabilities:
· The senior auditor
participates in pre-audit survey, assembles and analyzes financial and
other operational data and identifies areas of subsequent audit,
prepares specific audit programs for he use by audit team, estimates
time requirements and participates in preparing audit budgets.
· The senior auditor
assigns staff auditors to specific audit and areas and ensures that
auditors understand assignment goals, comprehend audit programs and
aware of the audit budget and time allocation.
· The senior auditor instructs staff
auditors on proper audit techniques, data gathering and analysis
methods. Participates in audits of high technical or complicated areas.
·
The senior auditor reviews and evaluates all completed work findings,
and recommendations for accuracy adequacy and presence of sufficient
supporting documents, ensures that project work papers are assembled
and filed correctly.
· The senior auditor participates in exit conference with the auditee and assists in assembling the final report.
· The senior auditor informs the audit director of audit progress on regular basis, consult with Audit Consultant on problem areas and recommends appropriate action.
· The Senior Auditor prepares performance report on staff auditors and provides suggestions for improving performances.
· Any special assignments from Audit Director.
Qualifications AND Experience:
Education: Bachelor in Accounting, commerce or business studies or equivalent.
Experience: 5 years of audit experience with health care is highly desirable.
Required Certification: CIA, CGA, CA or equivalent are preferred;
Language Skills: Fluent English: read, written and spoken.
Computer Skills: Thorough knowledge of basic accounting software and word processing.
